Part II General Conditions

1. Definitions and Interpretation

1.1 Definitions

Unless the context otherwise has the meaning ascribed to it, the following terms and expressions in all documents constituting this contract shall have the meanings ascribed to them in this paragraph:

1.1.1 "Project" refers to the construction project that implements supervision and related services in accordance with this contract.

1.1.2 "Principal" means the party entrusted with the supervision and related services in this contract, and its legal successor or assignee.

1.1.3 "Supervisor" means the party providing supervision and related services in this contract, and its legal successors.

1.1.4 "Contractor" refers to the parties who have signed the survey, design, construction and other related contracts with the Client within the scope of the project, and their legal successors.

1.1.5 "Supervision" refers to the supervision of the entrusted party, in accordance with laws and regulations, engineering construction standards, survey and design documents and contracts, in the construction stage of the construction project quality, progress, cost control, contract, information management, coordination of the relationship between the relevant parties of the project construction, and perform the construction project safety production management statutory duties of the service activities.

1.1.6 "Related services" refers to the service activities provided by the supervisor in the stages of survey, design, warranty and other stages in accordance with the entrustment of the principal.

1.1.7 "Normal work" means the work of the supervisor as agreed in the General Conditions and the Specific Conditions at the time of the conclusion of this contract.

1.1.8 "Additional work" refers to the work of the supervisor in addition to the normal work agreed in this contract.

1.1.9 "Project Supervision Agency" refers to the organization that the supervisor is stationed in the project and is responsible for the performance of this contract.

1.1.10 "Chief Engineer" refers to the registered supervising engineer who is fully responsible for the performance of this contract and presides over the work of the project supervision agency authorized in writing by the legal representative of the supervisor.

1.1.11 "Remuneration" refers to the amount paid by the Supervisor to the Supervisor in accordance with this Contract for the performance of the obligations of this Contract.

1.1.12 "Remuneration for normal work" refers to the amount of remuneration for the Supervisor to be paid by the Supervisor and specified in the Agreement when the Supervisor completes the normal work.

1.1.13 "Remuneration for additional work" refers to the amount that the Supervisor shall pay to the Supervisor after the Supervisor completes the additional work.

1.1.14 "Party" means the Principal or Supervisor; "Parties" means the Principal and the Supervisor; "Third Party" means a party other than the Principal and the Supervisor.

1.1.15 "Writing" means a form in which the contents of a contract, letter and data message (including telegram, telex, fax, electronic data interchange and e-mail) can be tangibly expressed.

1.1.16 "Day" means the time from 0:00 on the first day to 0:00 on the second day.

1.1.17 "Month" means a calendar month of time commencing on any day of the month according to the Gregorian calendar.

1.1.18 "Force Majeure" refers to natural disasters and social emergencies that are unforeseeable at the time of conclusion of this contract and cannot be overcome during the construction of the project, such as earthquakes, tsunamis, plagues, floods, riots, riots, wars and other circumstances agreed in special conditions.

1.2 Interpretation

1.2.1 This contract is written, interpreted and explained in Chinese. If the special conditions stipulate the use of two or more languages, Chinese shall prevail.

1.2.2 The following documents of the cost contract shall be mutually interpretable and illustrative of each other. Unless otherwise agreed in the Specific Conditions, the order of interpretation of this contract document is as follows:

(1) Agreement;

(2) Notice of winning the bid (applicable to bidding projects) or power of attorney (applicable to non-bidding projects);

(3) Special Conditions and Appendix A and Appendix B;

(4) General Conditions;

(5) Bidding documents (applicable to bidding projects) or supervision and related service proposals (applicable to non-bidding projects).

In the event of any contradiction or ambiguity between the supplementary agreement signed by the two parties and other documents, the latest signed document shall prevail if it belongs to the same type of document.

2. Obligations of the Supervisor

2.1 The scope and content of supervision

2.1.1 The scope of supervision is agreed in the special conditions.

2.1.2 Unless otherwise agreed in the special conditions, the supervision work includes:

(1) After receiving the engineering design documents, prepare the supervision plan, and report to the client 7 days before the first site meeting. According to the relevant provisions and the needs of supervision, the preparation of supervision implementation rules;

(2) Familiar with engineering design documents, and participate in the drawing review and design disclosure meeting presided over by the client;

(3) Participate in the first site meeting chaired by the client; Preside over the regular supervision meeting and preside over or participate in special meetings according to the needs of the project;

(4) Review the construction organization design submitted by the construction contractor, focusing on the compliance of the quality and safety technical measures, special construction plans and mandatory standards for engineering construction;

(5) Inspect the construction contractor's project quality, safety production management system, organizational structure and personnel qualifications;

(6) Inspect the allocation of full-time safety production management personnel of the construction contractor;

(7) Review the construction schedule submitted by the construction contractor and verify the contractor's adjustment of the construction schedule;

(8) Inspect the construction contractor's laboratory;

(9) Review the qualifications of construction subcontractors;

(10) Inspect the construction surveying and pay-off results of the construction contractor;

(11) Review the conditions for the commencement of the project, and issue a commencement order for those who meet the conditions;

(12) Review the validity and compliance of the quality certification documents of engineering materials, components and equipment submitted by the construction contractor, and conduct random inspections of the materials used for the project by means of parallel inspection or witness sampling according to the regulations;

(13) Review the application for payment of project money submitted by the construction contractor, issue or issue a certificate of payment for project payment, and report to the client for review and approval;

(14) In the process of inspection, side station and inspection, if it is found that there are hidden dangers of accidents in the quality of the project and construction safety, the construction contractor shall be required to rectify and report to the client;

(15) With the consent of the client, issue a project suspension order and a resumption of work order;

(16) Review the demonstration materials and relevant acceptance standards submitted by the construction contractor for the use of new materials, new processes, new technologies and new equipment;

(17) Acceptance of concealed projects and sub-projects;

(18) Review the project change application submitted by the construction contractor, and coordinate and deal with the adjustment of the construction schedule, expense claims, contract disputes and other matters;

(19) Review the application for completion acceptance submitted by the construction contractor and prepare the project quality assessment report;

(20) Participate in the completion acceptance of the project and sign the completion acceptance opinion;

(21) Review the application for completion settlement submitted by the construction contractor and report to the client;

(22) Prepare and sort out the project supervision archival documents and report to the client.

2.1.3 The scope and content of the relevant services are specified in Appendix A.

2.2 Supervision and related service basis

2.2.1 Supervision basis includes:

(1) Applicable laws, administrative regulations and departmental rules;

(2) engineering-related standards;

(3) Engineering design and related documents;

(4) This contract and other contracts signed between the client and a third party in connection with the implementation of the project.

According to the industry and regional characteristics of the project, the two parties shall specifically agree on the supervision basis in the special conditions.

2.2.2 The relevant services are agreed in the special conditions.

2.3 Project supervision institutions and personnel

2.3.1 The supervisor shall set up a project supervision organization to meet the needs of the work and be equipped with the necessary testing equipment. The main personnel of the project supervision agency shall have the corresponding qualifications.

2.3.2 During the performance of this contract, the chief engineer and the supervision personnel in important positions should remain relatively stable to ensure the normal progress of the supervision work.

2.3.3 The supervisor can adjust the personnel of the project supervision agency according to the progress of the project and the needs of the work. When the supervisor replaces the supervising engineer, he shall report in writing to the client 7 days in advance, and the replacement can only be made with the consent of the client; If the supervisor replaces other supervision personnel of the project supervision institution, he shall be replaced by a person with considerable qualifications and ability, and the client shall be notified.

2.3.4 The supervisor shall promptly replace the supervisor with one of the following circumstances:

(1) Gross negligence;

(2) Failure to perform duties due to illegal acts;

(3) Suspected of committing a crime;

(4) Incompetent for job responsibilities;

(5) Serious violation of professional ethics;

(6) Other circumstances agreed upon in the special conditions.

2.3.5 The client may require the supervisor to replace the personnel of the project supervision agency who are not competent for their own work.

2.4 Performance of Duties

The supervisor shall follow the code of ethics and code of conduct, and perform his duties in strict accordance with laws and regulations, relevant standards of engineering construction and this contract.

2.4.1 Within the scope of supervision and related services, the supervisor shall put forward the opinions and requirements put forward by the client and the contractor in a timely manner. When a contract dispute arises between the client and the contractor, the supervisor shall assist the client and the contractor in resolving it through negotiation.

2.4.2 When the contract dispute between the client and the contractor is submitted to an arbitration institution for arbitration or a people's court for trial, the supervisor shall provide the necessary supporting materials.

2.4.3 The supervisor shall, within the scope of authorization agreed in the special conditions, handle the modification of the contract signed between the client and the contractor. If the change exceeds the scope of authorization, it shall be submitted to the client for approval in writing.

In case of emergency, in order to protect property and personal safety, if the instructions issued by the supervisor cannot be approved by the client in advance, the instructions shall be reported to the client in writing within 24 hours after the order is issued.

2.4.4 Unless otherwise agreed in the special conditions, if the supervisor finds that the contractor's personnel are not competent for their own work, the supervisor shall have the right to request the contractor to be replaced.

2.5 Submission of Reports

The supervisor shall submit a report on supervision and related services to the client according to the type, time and number of copies agreed on the special conditions.

2.6 Documentation

During the performance period of this contract, the supervisor shall keep the drawings, reports and relevant documents recording the supervision work used in the work on site. After the completion of the project, the relevant documents of the supervision shall be filed in accordance with the provisions of the archives management.

2.7 Use of the Settlor's property

The supervisor shall use the personnel dispatched by the client and the premises, materials and equipment provided by the client in Appendix B free of charge. Unless otherwise agreed in the special conditions, the houses and equipment provided by the client belong to the property of the client, and the supervisor shall properly use and keep them, submit the list of these houses and equipment to the client when this contract is terminated, and hand them over at the time and in the manner agreed in the special conditions.

3. Obligations of the Client

3.1 Notice

The client shall specify the supervisor, the supervising engineer and the authority granted to the project supervision agency in the contract signed between the client and the contractor. If there is any change, the contractor shall be notified in a timely manner.

3.2 Provision of Information

The client shall, in accordance with Appendix B, provide the supervisor with the relevant information of the project free of charge. During the performance of this contract, the client shall provide the latest information related to the project to the supervisor in a timely manner.

3.3 Provision of working conditions

The client shall provide the necessary conditions for the supervisor to complete the supervision and related services.

3.3.1 The Client shall, in accordance with the provisions of Appendix B, dispatch corresponding personnel to provide premises and equipment for the use of the Supervisor free of charge.

3.3.2 The client shall be responsible for coordinating all external relations in the construction of the project and providing the necessary external conditions for the supervisor to perform this contract.

3.4 Principal's Representatives

The client shall authorize a representative who is familiar with the project to be responsible for liaising with the supervisor. The client shall, within 7 days after both parties sign this contract, inform the supervisor in writing of the name and duties of the client's representative. When the client changes the client's representative, the supervisor shall be notified 7 days in advance.

3.5 Client's comments or requests

Within the scope of supervision and related services agreed in this contract, the client shall notify the supervisor of any comments or requirements of the contractor, and the supervisor shall issue corresponding instructions to the contractor.

3.6 Responses

The client shall, within the time specified in the special conditions, give a written reply to the matters submitted in writing by the supervisor and requested to make a decision. If there is no reply within the time limit, it shall be deemed to be accepted by the client.

3.7 Payment

The client shall pay remuneration to the supervisor in accordance with this contract.

4. Liability for breach of contract

4.1 Liability of the Supervisor for breach of contract

If the supervisor fails to perform the obligations of this contract, he shall bear the corresponding responsibility.

4.1.1 If the supervisor violates the provisions of this contract and causes losses to the client, the supervisor shall compensate the client for the losses. The method of determining the amount of compensation is stipulated in the special conditions. If the supervisor bears part of the liability for compensation, the amount of compensation to be borne shall be determined by the two parties through negotiation.

4.1.2 If the Supervisor's claim against the Client is not established, the Supervisor shall compensate the Client for the expenses incurred thereby.

4.2 Client's liability for breach of contract

If the client fails to perform its obligations under this contract, it shall bear the corresponding responsibility.

4.2.1 If the client violates the provisions of this contract and causes losses to the supervisor, the client shall compensate for it.

4.2.2 If the client's claim against the supervisor is not substantiated, the supervisor shall compensate the supervisor for the expenses arising therefrom.

4.2.3 If the client fails to pay the remuneration on time for more than 28 days, the interest on overdue payment shall be paid according to the special conditions.

4.3 Exclusions

The supervisor shall not be liable for the losses caused by engineering quality accidents, safety accidents, construction delays, etc., due to reasons not attributable to the supervisor and the supervisor is not at fault.

If all or part of this contract cannot be performed due to force majeure, both parties shall be liable for the losses and damages caused thereby.

5. Payment

5.1 Payment Currency

Unless otherwise agreed in the special conditions, the remuneration shall be paid in RMB. In the case of foreign currency payments, the types of currencies, proportions and exchange rates to be used shall be stipulated in the special conditions.

5.2 Payment Requests

The supervisor shall submit an application for payment to the client 7 days before the time of each payment due as agreed in this contract. The application for payment shall state the total amount payable for the current period and list the amount payable for the current period and its amount.

5.3 Payment of Honorarium

The remuneration paid includes normal work remuneration, additional remuneration, rationalization proposal incentive amount and expenses.

5.4 Payment of the disputed part

If the client has any objection to the payment application submitted by the supervisor, it shall send a notice of objection to the supervisor in writing within 7 days after receiving the payment application submitted by the supervisor. The amount of the undisputed part shall be paid on time, and the amount of the disputed part shall be handled in accordance with Article 7.

6. Validity, modification, suspension, rescission and termination of the Contract

6.1 Validity

Unless otherwise stipulated by law or otherwise agreed in the special conditions, this contract shall come into force after the legal representative of the principal and the supervisor or their authorized agent shall sign the agreement and affix the seal of the unit.

6.2 Changes

6.2.1 When either party makes a request for change, the change may be made by mutual agreement.

6.2.2 In addition to force majeure, if the period of performance of the contract by the supervisor is extended or the content is increased due to reasons not attributable to the supervisor, the supervisor shall notify the client of the situation and the possible impact in a timely manner. The increased supervision working hours and work content should be regarded as additional work. The method of determining the remuneration for additional work is stipulated in the special conditions.

6.2.3 After the contract comes into effect, if the actual situation changes so that the supervisor cannot complete all or part of the work, the supervisor shall immediately notify the client. Except for force majeure, the aftermath work and the preparation for the resumption of services shall be additional work, and the method of determining the remuneration for additional work shall be stipulated in the special conditions. The time for the supervisor to prepare for the resumption of service should not exceed 28 days.

6.2.4 After the contract is signed, if there are laws, regulations and standards related to the project promulgated or revised, both parties shall comply with them. If the scope, time and remuneration of supervision and related services are changed, the two parties shall make corresponding adjustments through negotiation.

6.2.5 When the estimated investment amount of the project or the cost of construction and installation increases due to reasons not attributable to the supervisor, the remuneration for normal work shall be adjusted accordingly. The method of adjustment is agreed in the special conditions.

6.2.6 When the normal workload of the supervisor is reduced due to the change of the scale of the project and the scope of supervision, the remuneration for normal work shall be adjusted accordingly. The method of adjustment is agreed in the special conditions.

6.3 Suspension and Cancellation

Except that both parties may terminate this contract by mutual agreement, when one party fails to perform its obligations under this contract without justifiable reasons, the other party may suspend the performance of this contract until the contract is terminated according to this contract.

6.3.1 During the validity period of this Contract, if the performance of this Contract cannot be continued in whole or in part or the continued performance is meaningless due to reasons beyond the foresight and control of both parties, the two parties may terminate part of the obligations of this Contract or the Supervisor by mutual agreement. Prior to termination, the supervisor should make reasonable arrangements to minimise expenses.

The Supervisor shall compensate for the losses suffered by the Supervisor due to the termination of this contract or the termination of part of the obligations of the Supervisor, except in cases where liability can be exempted according to law, and the amount of compensation shall be determined by both parties through negotiation.

The agreement to terminate this contract must be in writing and this contract shall remain in force until the agreement is reached.

6.3.2 During the validity period of this contract, if the construction of the project is suspended in whole or in part due to reasons not attributable to the supervisor, the client may notify the supervisor to request the suspension of all or part of the work. The supervisor should immediately arrange for the cessation of work and minimise the expenses. Except for force majeure, the losses suffered by the supervisor as a result shall be compensated by the client.

If the suspension of part of the supervision and related services exceeds 182 days, the supervisor may issue a notice of termination of the part of the obligations agreed in this contract; If the suspension of all working hours exceeds 182 days, the supervisor may issue a notice of termination of this contract, and this contract shall be terminated when the notice reaches the client. The Client shall pay the remuneration for the supervision and related services until the date of termination of this contract and shall assume the responsibilities specified in clause 4.2.

6.3.3 When the supervisor fails to perform the obligations agreed in this contract without justifiable reasons, the client shall notify the supervisor to make corrections within a time limit. If the Client does not receive a reasonable explanation in writing from the Supervisor within 7 days after receiving the notice, the Client may terminate this contract by giving notice within 7 days, and this contract shall be terminated when the notice reaches the Supervisor. The Client shall pay the remuneration for the supervision and related services until the date on which the notice of correction reaches the supervisor, but the supervisor shall bear the responsibilities specified in clause 4.1.

6.3.4 If the Supervisor does not receive the payment due from the Client in accordance with this Contract after 28 days from the date of payment agreed in Special Condition 5.3, the Supervisor may send a reminder notice to the Client. If the client fails to pay or fails to propose a deferred payment arrangement acceptable to the supervisor after 14 days of receiving the notice, the supervisor may give notice to the client to suspend the work and may suspend all or part of the work on its own. If the supervisor does not receive the remuneration payable by the client or a reasonable reply from the client within 14 days after the suspension of work, the supervisor may give the client a notice of termination of this contract, and this contract shall be terminated when the notice reaches the client. The Principal shall bear the responsibilities set forth in clause 4.2.3.

6.3.5 If part or all of this contract cannot be performed due to force majeure, one party shall immediately notify the other party and may suspend or terminate this contract.

6.3.6 After the termination of this contract, the conditions related to settlement, liquidation and dispute resolution agreed in this contract shall remain valid.

6.4 Termination

This contract shall be terminated when all of the following conditions are met:

(1) The supervisor completes all the work agreed in this contract;

(2) The client settles with the supervisor and pays all the remuneration.

7. Dispute Resolution

7.1 Negotiation

The parties shall negotiate and resolve their disputes in good faith.

7.2 Mediation

If the parties are unable to resolve the dispute under this contract within 14 days or such other time as agreed by the parties, they may be referred to a mediator for mediation as agreed upon in the terms and conditions or agreed upon afterwards.

7.3 Arbitration or Litigation

Both parties have the right to directly apply for arbitration to the arbitration institution agreed upon in the special conditions or to file a lawsuit with the people's court with jurisdiction without mediation.

8. Miscellaneous

8.1 Expenses for field trips

With the consent of the client, the expenses incurred by the supervisors for inspection shall be paid by the client after review.

8.2 Testing Fees

The expenses incurred by the client for the material and equipment testing required by the supervisor shall be paid by the client, and the payment time shall be agreed in the special conditions.

8.3 Consultation Fees

With the consent of the client, the expenses incurred by the relevant consultation and demonstration meeting organized by the supervisor and the hiring of relevant experts according to the needs of the project shall be paid by the client, and the payment time shall be agreed in the special conditions.

8.4 Rewards

If the supervisor puts forward a reasonable proposal in the course of the service, so that the client can obtain economic benefits, the two parties shall agree on the method of determining the reward amount in the special conditions. The amount of the incentive will be paid at the same time as the latest normal work remuneration after the rationalization proposal is adopted.

8.5 Compliance with Laws and Integrity

The supervisor and his staff shall not receive any financial benefits from third parties related to the implementation of the works.

8.6 Confidentiality

The two parties shall not disclose the confidential information declared by the other party, nor shall they disclose the confidential information provided by a third party related to the implementation of the project, and the confidential matters shall be agreed in the special conditions.

8.7 Notices

All notices referred to in this contract shall be in writing and shall be effective when delivered to the other party, and the addressee shall sign for receipt in writing.

8.8 Copyright

The supervisor owns the copyright of the documents he prepares.

The supervisor may publish materials related to supervision and related services, either alone or jointly with others. Unless otherwise agreed in the special conditions, if the supervisor publishes information related to supervision and related services related to the project during the performance of this contract and within two years after the termination of this contract, the consent of the client shall be obtained.

The Principal agrees to give a written reply to the matter submitted in writing by the Supervisor and requested a decision within one day.

4. Liability for breach of contract

4.1 Liability of the Supervisor for breach of contract

4.1.1 The amount of compensation for the supervisor shall be determined according to the following methods:

Compensation = direct economic loss × remuneration for normal work ÷ estimated investment amount of the project (or construction and installation costs)

4.2 Client's liability for breach of contract

4.2.3 The interest on overdue payment of the client shall be determined in the following manner:

Interest on overdue payment = total amount payable for the current period × the bank's lending interest rate for the same period × number of days of delay

6. Validity, modification, suspension, rescission and termination of the Contract

6.1 Validity

6.2.2 Except for force majeure, if the term of this contract is extended due to reasons not attributable to the supervisor, the additional remuneration shall be determined in the following manner:

6.2.3 Additional remuneration shall be determined in the following ways:

Additional remuneration = preparatory working hours for aftercare and resumption of services (days) × remuneration for normal work ÷ supervision and related service period agreed in the agreement (days)

6.2.5 The increase in normal service remuneration shall be determined as follows:

Increase in normal work remuneration = increase in project investment or construction and installation project cost × normal work remuneration ÷ estimated project budget investment (or construction and installation project cost)

6.2.6 When the normal workload of the supervisor is reduced due to the change of the scale of the project and the scope of supervision, the same proportion of remuneration shall be deducted from the normal work remuneration agreed in the agreement according to the proportion of the reduced workload.

7. Dispute Resolution

7.2 Mediation

In the event of mediation of disputes under this contract, it may be submitted for mediation.

7.3 Arbitration or Litigation

The final settlement of contract disputes shall be in the following ways:

(1) Submit to the Arbitration Commission for arbitration.

(2) Filing a lawsuit with the people's court.

8. Miscellaneous

8.2 Testing Fees

The client shall pay the test fee within one day after the completion of the test.

8.3 Consultation Fees

The client shall pay the consultation fee within one day after the completion of the consultation work.

8.4 Rewards

The reward amount for the rationalization proposal is determined as follows:
