Zhitong Financial APP News, Zhongpet Shares (002891.SZ) announced that the company's independent directors Qu Zhiping, Nie Shixing and Zou Jun will continue to serve as independent directors of the company for six consecutive years. According to the relevant regulations, Qu Zhiping, Nie Shixing and Zou Jun are now applying to resign as independent directors of the third board of directors of the company and related positions of the special committee of the board of directors.

It is reported that the resignation of Qu Zhiping, Nie Shixing and Zou Jun will result in the number of independent directors of the company being less than one-third of the members of the board of directors. According to the relevant regulations, the resignations of Qu Zhiping, Nie Shixing and Zou Jun will take effect after the election of new independent directors at the company's shareholders' general meeting. During this period, Qu Zhiping, Nie Shixing and Zou Jun will continue to perform their duties as independent directors of the Company and members of the Special Committee of the Board of Directors.

On August 16, 2021, the Board of Directors of the Company deliberated and passed the "Proposal on the By-election of Independent Directors of the Third Board of Directors of the Company", and intends to nominate Sun Li, Wang Xinlan and Zhang Xiaoxiao as independent director candidates for the third term of the Board of Directors of the Company. After Sun Li, Wang Xinlan and Zhang Xiaoxiao are elected as independent directors by the company's shareholders' general meeting, their term of office shall be from the date of deliberation and approval by the company's shareholders' meeting to the date of expiration of the term of office of the third board of directors. After Sun Li, Wang Xinlan and Zhang Xiaoxiao are elected, they will take over the relevant positions of the special committee of the third board of directors held by Nie Shijian, Qu Zhiping and Zou Jun respectively, and the term of office will be consistent with the term of office of the independent directors.
